Terms of Service

2) Eligibility & Accounts

• Minimum Age: You must be at least 13 years old (or the age required by local law) to use the Services.
• Account Security: You are responsible for your credentials and all activity under your account. Notify us immediately of any unauthorized use.
• Accuracy: Provide accurate, complete information and keep it updated.

3) Subscriptions, Trials, Billing & Taxes

• Plans: Some Services may require paid subscriptions. Plan features and pricing may change with notice.
• Trials: If a trial is offered, charges begin at the end of the trial unless you cancel before the trial ends.
• Billing: You authorize us to charge your payment method for fees, taxes, and currency conversion where applicable.
• Invoices: Invoices/receipts may be emailed or made available in your dashboard.

4) Cancellations & Refunds

You can cancel at any time; access continues until the end of the current billing period. Fees already paid are non-refundable unless required by law or expressly stated otherwise.

5) Acceptable Use

• No illegal, harmful, deceptive, infringing, or harassing activity.
• No attempts to reverse engineer, bypass security, or access non-public areas.
• No spam, malware, scraping at scale, or interference with network integrity.
• No submission of personal or sensitive data you are not authorized to process.
• Comply with all applicable laws, including export controls and local telephony/recording laws for voice agents.

6) AI & Voice Agent Specifics

• Non-advisory outputs: AI responses are generated content and may be inaccurate or incomplete. Use human review for critical decisions.
• Data handling: We aim to minimize personal data in demos; avoid including sensitive data unless necessary and permitted.
• Compliance: You are responsible for obtaining consents and complying with call recording and privacy laws in your jurisdiction.

7) Customer Content & Data

You retain ownership of content you submit (“Customer Content”). You grant ShyphanAi a worldwide, non-exclusive license to host, process, transmit, and display Customer Content to provide and improve the Services.

You represent that you have all rights and consents necessary for Customer Content and that it does not infringe any third-party rights.

8) Confidentiality & Security

Each party may receive confidential information of the other. The receiving party will use it only to provide or receive the Services and protect it with reasonable safeguards. See our Privacy Policy for details on personal data.

9) Intellectual Property

• Our IP: The Services, software, logos, and content are owned by ShyphanAi or its licensors and are protected by law.
• Feedback: If you send suggestions or ideas, you grant us a perpetual, royalty-free license to use them without restriction.

10) Third-Party Services

The Services may integrate third-party tools (e.g., analytics, scheduling, telephony, LLM providers). Use of those tools is subject to their terms, and we are not responsible for third-party actions or service levels.

11) Warranties & Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHYPHANAI AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13) Indemnification

You will defend, indemnify, and hold harmless ShyphanAi from and against any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, Customer Content, or violation of these Terms or applicable law.

14) Suspension & Termination

We may suspend or terminate access if you violate these Terms, create risk, or where required by law. Upon termination, your right to use the Services ceases immediately; provisions that by their nature should survive (e.g., confidentiality, IP, disclaimers, liability limits, indemnity) shall survive.

15) Changes to the Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above and may be communicated via the site or email. Continued use after changes means you accept the updated Terms.

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India, without regard to conflict of laws principles. Exclusive venue and jurisdiction lie in the courts of Gautam Buddha Nagar, Uttar Pradesh, India.

17) Miscellaneous

• Entire Agreement: These Terms plus any order forms or addenda are the entire agreement.
• Severability: If a term is unenforceable, the rest remain in effect.
• Assignment: You may not assign without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
• Notices: We may notify you via email or the Service. You may notify us at the address below.
• No Waiver: Failure to enforce is not a waiver.
